These Investor Text Messaging Terms & Conditions (“Terms”) govern your participation in the Roers Companies text messaging program (the “Text Messaging Program”). By opting in to receive text messages from Roers Companies LLC and its affiliates (“Roers,” “we,” “our,” or “us”), you agree to these Terms.

1. Program Description
The Text Messaging Program allows Roers’ Investor Relations team to communicate with investors and prospective investors regarding:

• Investor events;
• Investment opportunity announcements;
• Event registration and reminders;
• Investor relations updates;
• Requests for information or follow-up communications;
• Responses to inquiries submitted by investors; and
• Other investor relations communications.

The Program includes two-way text messaging, meaning you may send and receive text messages with Roers through a third-party messaging platform.

2. Consent to Receive Text Messages
By providing your mobile phone number and opting into the Text Messaging Program, you expressly consent to receive text messages from Roers at the number provided.

Your consent is not a condition of purchasing any product, investing in any offering, or receiving any services from Roers.

Message frequency may vary based on your interactions with Roers, upcoming events, investment opportunities, and other investor relations activities.

3. Opt-Out Instructions
You may opt out of receiving text messages at any time by replying:

After you send a STOP message, you may receive a confirmation message and no further marketing or investor-relations text messages will be sent to that mobile number, unless you subsequently opt in again.

5. Message and Data Rates
Standard message and data rates may apply according to your wireless carrier plan.

Roers does not charge a fee to participate in the Text Messaging Program; however, your mobile carrier may impose charges.

6. No Investment Advice; No Offer or Solicitation
Text messages are provided for informational and relationship-management purposes only.

Text messages do not constitute:

• investment advice;
• financial advice;
• legal advice;
• tax advice;
• a recommendation to purchase or sell any security; or
• an offer to sell or a solicitation of an offer to buy any security.

7. Confidentiality and Security

• account credentials;
• passwords; or

Although Roers and its service providers maintain reasonable safeguards, transmission of information by text message cannot be guaranteed as secure.

8. Third-Party Service Providers
Roers utilizes one or more third-party service providers to facilitate text message communications.

By participating in the Text Messaging Program, you acknowledge that messages may be processed, transmitted, stored, or archived by such providers on behalf of Roers.

9. Mobile Carrier Disclaimer
Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your wireless carrier and may be impacted by network availability, device settings, or other factors beyond Roers’ reasonable control.

10. Record Retention
Roers may retain text message communications and related records for business, legal, regulatory, compliance, investor-relations, and recordkeeping purposes.

11. Privacy

12. Eligibility

By participating in the Text Messaging Program, you represent that:

• you are at least 18 years old;
• you are the subscriber or customary user of the mobile number provided; and
• you have authority to consent to communications sent to that number.

13. Modification or Termination
Roers may modify, suspend, or terminate the Text Messaging Program at any time without prior notice.
